Terms of Service

1. Agreement to Terms

By accessing or using Trelli CRM ("Service"), operated at trellicrm.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. "Trelli," "we," "us," and "our" refer to the operator of this Service. "You" refers to the individual or organization using the Service.

2. Description of Service

Trelli CRM is a cloud-based customer relationship management platform for small businesses. The Service includes contact management, deal tracking, task management, estimates, team collaboration, messaging, calendar integration, an AI assistant ("Ivy"), and a worker portal for field service management.

3. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 years old to use the Service.

Each organization account is managed by an owner who controls billing, team membership, and organization settings. The owner may invite additional team members and assign roles and permissions.

4. Subscription and Billing

The Service offers subscription plans (Starter, Professional, Business) billed monthly or annually. Pricing is displayed at trellicrm.com/pricing and may change with 30 days' notice. A 14-day free trial is available for new organizations.

Subscriptions are processed through Stripe. By subscribing, you authorize recurring charges to your payment method. You may cancel at any time; access continues until the end of the current billing period. Refunds are issued at our discretion.

If payment fails, your account will be marked as past due. Continued failure to pay may result in suspension or downgrade of your account.

5. Customer Payments & Stripe Connect

The Service optionally allows you to accept payments from your customers (for example, through estimate payment links) by connecting a Stripe account using Stripe Connect. Connecting a Stripe account is optional; if you do not connect one, no platform fees apply to your transactions.

When you connect a Stripe account and a payment is processed through Trelli, Trelli retains a platform fee that scales with your subscription tier. This platform fee is separate from, and in addition to, Stripe's standard processing fees. Current platform fees are:

• Starter: 2.0% of the transaction amount
• Professional: 1.0% of the transaction amount
• Business: 0.5% of the transaction amount

Platform fees are deducted automatically by Stripe before funds are transferred to your connected account. By connecting a Stripe account, you authorize Trelli to collect these fees on every transaction routed through the Service. You may disconnect your Stripe account at any time in Settings → Integrations; disconnecting does not affect fees already collected on prior transactions.

Refunds, chargebacks, disputes, and customer support for payments are your responsibility and are managed through your Stripe dashboard. Trelli does not process refunds on your behalf and does not reverse platform fees on refunded transactions unless required by law. Sales tax collection and remittance are also your responsibility.

Stripe is a separate third-party service governed by Stripe's own Connected Account Agreement and Services Agreement, which you must accept during Stripe onboarding. Trelli is not a money transmitter; Stripe is the payments processor of record.

Platform fee rates may change with 30 days' notice via email or in-app notification. Continued use of Stripe Connect after a fee change takes effect constitutes acceptance of the new rate.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other accounts or systems
• Interfere with or disrupt the Service or its infrastructure
• Scrape, data mine, or use automated tools to extract data from the Service
• Resell, sublicense, or redistribute the Service without written permission
• Use the AI assistant (Ivy) to generate harmful, abusive, or illegal content

7. Your Data

You retain ownership of all data you upload or create in the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to store, process, and display Your Data solely to provide the Service.

You may export Your Data at any time via the data export feature in Settings. Upon account deletion, Your Data will be permanently removed from our systems within 30 days.

8. AI Assistant (Ivy)

The Service includes an AI-powered assistant ("Ivy") available on Professional and Business plans. Ivy processes your requests using third-party AI models. While we strive for accuracy, AI-generated responses may contain errors. You are responsible for reviewing and verifying any actions taken based on Ivy's suggestions.

Ivy does not provide legal, financial, medical, or professional advice. Do not rely on Ivy for critical business decisions without independent verification.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from Service downtime.

10. Limitation of Liability

To the maximum extent permitted by law, Trelli shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Trelli from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with reasonable notice. You may terminate your account at any time through the Danger Zone in Settings. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Texas.
